Caravan Resources Group is a group of companies focused on the mining, construction and design industries. We specialize in copper and gold cathode production, as well as providing high quality design and construction services for industrial projects in the mining industry.

We have assets in three regions of Kazakhstan: the Ulytau, Karaganda and Kostanay regions. Exploration works are currently underway in Kostanai region.

We are seeking an experienced Senior Lawyer to support our project and transaction-based legal needs. The ideal candidate will bring expertise in drafting, reviewing, and negotiating transactional documents and contracts related to various projects, ensuring legal compliance and mitigating risks for the company. This role requires excellent analytical skills, attention to detail, and the ability to work effectively within cross-functional teams.

Responsibilities:

• Draft, review, and negotiate project-related and transactional documentation, including contracts, agreements, and term sheets.
• Provide legal support for project financing, M&A transactions, joint ventures, and other strategic partnerships.
• Conduct due diligence and risk assessment for potential transactions and partnerships.
• Ensure compliance with applicable local and international laws, as well as company policies and procedures.
• Advise senior management and project teams on legal risks, rights, and obligations.
• Collaborate with external legal advisors on complex legal issues and transactions as needed.
• Monitor and interpret changes in relevant legislation and advise on necessary adjustments to contracts or practices.
• Maintain organized records of all legal documents and assist with periodic internal audits.

• Bachelor’s degree/Master’s degree in Law or additional certifications in corporate law is a plus.
• Minimum of 6 years of experience in corporate law, with a focus on transactional law and project-based legal work.
• In-depth understanding of corporate, contract, and commercial law.
• Proven experience in negotiating and drafting complex agreements, especially within sectors such as construction, mining, or finance.
• Excellent communication skills, with the ability to clearly explain legal issues to non-legal stakeholders.
• Strong analytical skills, attention to detail, and problem-solving abilities.
• High proficiency in English (written and verbal); knowledge of additional languages is an advantage.
